These General Terms and Conditions (hereinafter "GTC") apply to the provision of services and the sale of goods by GLOBIZCLOUD (hereinafter "Provider").
Quotes are made in writing and can be viewed in the customer Portal. The quote is valid until the date mentioned on the quote.
A quote becomes an order when it is accepted. A quote can be accepted by entering the name of the person and clicking the button ACCEPT in the quote. All orders are irrevocable and cannot be cancelled.
Invoices will be made available in the customer Portal. The absence of a written objection to an invoice within eight (8) working days after sending entails the irrevocable acceptance of the invoice and the amounts, products and services stated therein.
Prices indicated by the Provider are in EUR and excluding VAT unless otherwise indicated. Prices shown on the website are only indicative and not binding. Discounts apply per client and are not cumulative. The provider reserves the right to remove the discounts.
The delivery period of the goods and services stated by the Provider are only an indication and not binding unless otherwise agreed. A delay in the delivery does not give right to cancellation of the order or compensation. In the event of a complaint concerning the delivery of goods or provision of services, of whatever nature, the client must notify the Provider by registered post within eight (8) working days after the delivery of the goods or the commencing date of the provided services. A complaint concerning the delivery of goods or provision of services may not be used as a pretext for suspending or delaying the payment of invoices.
All invoices must be paid within 10 days unless otherwise stated on the invoice. If the invoice has not been paid on the due date, whereby the value date applies as the payment date, then the client shall be charged a late payment interest of 0.05% per day without any notice of default. In case of late payment, the client will automatically owe a penalty of 10%, with a minimum of 150 EUR.
The Customer will not be entitle to a refund or compensation in any way whatsoever, this also applies to previous payments made to the Provider for whatever reason.
Upon checkout on the website or by accepting a quote, the Customer enters into an Agreement with the provider. The Customer agrees with the General Terms and Conditions and the Specific Terms and/or SLA that may supplement or override the General Terms and Conditions.
Term and Termination
The Agreement is entered into for a period of one (1) year. The agreement will automaticlly renew for the period of one (1) year. Each party may unilaterally terminate the agreement without stating reasons by giving a 30 day notice. Notice must be given via the customer Portal or by registered mail. The Provider has the right to terminate the Agreement immediately if one or more invoices are unpaid for more than 30 days. The Provider shall be indemnified of any damages resulting from such Termination. A termination shall not release the Client from its obligations under the Agreement. Upon termination by the Provider after an unpaid invoice, the remaining amounts on the agreement shall be due immediately.
The provider shall be entitled to suspend any and all services until the outstanding balance of all unpaid invoices (including interest if applicable) has been paid in full. The Provider shall be indemnified of any damages resulting from such suspension. A suspension shall not release the Client from its obligations under the Agreement.
The Provider may dissolve this agreement with immediate effect at any time, without giving prior notice and without court intervention, if the client has failed to pay the invoice in question more than 30 days after the invoice date, whereby the value date serves as the payment date, unless the client has objected against the invoice in accordance with these GTC. In the event of a breach of any provision by the Customer or a user, the Provider may dissolve the contract with immediate effect at any time, without giving notice of default and without prior court intervention. In case of Dissolution for a Product or Service with monthly payments, the remaining monthly payments for the duration of the Agreement will be due immediately.
These GTC may change. It is the Customer's responsibility to read these terms regularly to stay up to date.
